1. OVERVIEW

1.1. Welcome to https://womensjoblist.com/ (the "Website"), operated by Women's Job list. These Terms and Conditions (the "Agreement") set the rules for your access to and use of the Website and the related job board and career services we provide (the "Services"). By accessing or using the Website or the Services, you confirm that you have read, understand, and agree to be bound by this Agreement whether or not you create an account.

1.2. We may change this Agreement at any time. We will post material changes at least 7 days before they become effective. If you do not agree with the updated terms, you should stop using the Website and close your account during that 7 day period. Your continued use after the effective date means you accept the updated Agreement.

1.3. Definitions

  • Agreement - these Terms and Conditions as updated from time to time.
  • ATS - third party applicant tracking systems used by employers or recruiters to manage applications.
  • >Women's Job list Content - content and information we make available on or through the Website or in connection with the Services, including job postings, employer and company data, recruiter information, advertisements, links, reports, third party materials, and similar items.
  • Women's Job list IP - the Services and all materials on or through the Website, including software, text, graphics, images, photographs, audio, video, logos, brands, trade names, trademarks and service marks, look and feel, and all related intellectual property rights.
  • Personal Data - information that identifies or relates to an identified or identifiable person, including identity, contact, profile, technical, and usage data that we collect under our Privacy Policy.
  • Profile Settings - the preferences and controls available in your account.
  • Services - job related features available on or through the Website with or without registration.
  • User, you, or your - any visitor to the Website and any person who registers or uses the Services.
  • User Content - any content you submit, post, upload, or otherwise provide to us or to the Website, including resumes, messages, posts, images, audio, and video.
  • User Data - collectively, Personal Data and User Content.
  • Third-Party Sites - websites, platforms, or services operated by others, including employer and recruiter sites, job boards, advertising partners, data partners, and any content, products, or services offered there.

2. Ownership and license

2.1. Except for content we license from others or that users provide, the Services, the Website, Women's Job list Content, and Women's Job list IP are owned by Women's Job list or our licensors and are protected by U.S. and international laws.

2.2. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Website and Services for your personal, non-commercial job search and application activities, subject to this Agreement. No other rights are granted. You must not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display or perform, publish, adapt, edit, translate, create derivative works from, reverse engineer, decompile, or disassemble any part of the Services or Women's Job list IP except to the extent such restrictions are prohibited by law.

3. Use of the Website and Services

3.1. Eligibility and compliance

  • You must be at least 18 years old and able to form a binding contract to use the Services.
  • You must comply with all applicable federal, state, and local laws, rules, and regulations when using the Services.
  • Your use of the Services is also subject to our Privacy Policy located at https://www.womensjoblist.com/privacy.

3.2. Acceptable use

You agree that you will not:

  • sublicense, resell, rent, lease, lend, or otherwise make the Services available to any third party;
  • reverse engineer, decompile, or attempt to derive the source code of the Services;
  • copy, scrape, crawl, harvest, mine, spider, index, cache, archive, or otherwise extract any portion of the Services or User Data by automated or manual means, except as expressly permitted in 3.3;
  • use any robot, bot, scraper, crawler, or other automated means to access the Services in a manner that sends more requests to our servers than a human could reasonably produce in the same period using a conventional web browser;
  • send unsolicited or unauthorized advertising, promotional materials, spam, chain letters, or other solicitations;
  • attempt to interfere with, compromise, or circumvent any security or access control measures of the Services or our systems;
  • upload or transmit viruses, worms, malware, or other harmful code;
  • take any action that imposes or may impose, in our sole discretion, an unreasonable or disproportionately large load on our infrastructure;
  • collect or attempt to collect Personal Data of other users except through Service features intended for that purpose with the other user's consent;
  • use the Services for commercial solicitation unrelated to job search or hiring, or to build or augment any database or service that competes with the Services;
  • impersonate any person or entity, commit fraud, or misrepresent your affiliation with any person or entity;
  • access content through any technology or means other than those provided or authorized by the Services;
  • circumvent or attempt to circumvent any content protection, rate limits, or access restrictions we use;
  • use any content from the Website or Services to train, test, or improve any machine learning or artificial intelligence models, or for similar data mining, without our prior written consent.

3.3. Limited search engine license

We grant publicly available general purpose search engines revocable permission to use spiders to copy materials from the Website solely to create publicly accessible searchable indices of the materials, but not caches or archives, subject to our robots.txt and applicable law.

3.4. Service changes and availability

We may change, suspend, or discontinue any part of the Website or Services at any time, with or without notice. We may restrict or terminate your access if we believe you have violated this Agreement or applicable law, or to protect the Services or our users.

3.5. Third-Party Sites and materials

The Website may contain links to or integrations with Third-Party Sites. We do not control, endorse, or assume responsibility for Third-Party Sites or their content, products, or services. Your use of Third-Party Sites is at your own risk and is governed by their terms and privacy notices. Your dealings with third parties are solely between you and them.

4. User Data and User Content

4.1. Your license to Women's Job list

By submitting or posting User Content or otherwise providing User Data to us in connection with the Services, you grant Women's Job list a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, modify, adapt, translate, create derivative works, publish, publicly perform and display, distribute, and otherwise exploit such User Content and User Data in connection with operating, improving, and promoting the Services, including to share with employers, recruiters, ATS providers, and service providers as described in our Privacy Policy. To the extent permitted by law, you waive any moral rights you may have in your User Content.

4.2. Your representations

You represent and warrant that:

  • you own or have all necessary rights to the User Content and User Data you provide and to grant the license above;
  • your User Content and User Data are accurate and current and do not infringe or violate any law or rights of others, including intellectual property, privacy, or contractual rights;
  • our and our partners' use of your User Content and User Data as permitted by this Agreement will not violate any law or third party right.

4.3. Prohibited User Content

You must not submit content that:

  • is unlawful, fraudulent, harmful, defamatory, obscene, harassing, threatening, hateful, or otherwise objectionable;
  • exploits or harms minors;
  • discloses trade secrets, inside information, or content you are not authorized to disclose;
  • contains private or sensitive information about others without consent;
  • is false, misleading, or deceptive;
  • contains malware or harmful code.

4.4. Monitoring and removal

We may monitor use of the Services and review, remove, or disable access to any User Content at our discretion, but we have no obligation to do so. You are solely responsible for your User Content and interactions with others. We are not responsible for the conduct of users.

4.5. Feedback

If you provide comments, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use and exploit the feedback without restriction or compensation.

5. Job search and applications

5.1. Searching

You may search for jobs with or without an account. Your search history and activity may be used to personalize alerts and recommendations.

5.2. Applying through the Website

If you apply to a job through the Website, we will transmit the relevant User Data to the employer, recruiter, or ATS for that job. You are responsible for keeping your resume and profile accurate and up to date each time you apply.

5.3. Delivery not guaranteed

We use commercially reasonable efforts to deliver your application and attached User Data to the intended recipient, but we cannot guarantee delivery, receipt, or acceptance. If a transmission fails, we may attempt a retransmission but are not obligated to do so.

5.4. Applying on Third-Party Sites

Some job listings link to Third-Party Sites. If you click through and apply on a Third-Party Site, your application is subject to that site's terms and privacy practices. We are not responsible for Third-Party Sites or their handling of your information.

5.5. Consent to register in ATS

When you apply to jobs that use third party ATS platforms, you authorize Women's Job list to submit and, where necessary, register your User Data and User Content in the applicable ATS under your name so that the employer can evaluate your candidacy for the role applied to and for other relevant roles managed by that ATS.

6. Communications and electronic records

6.1. Electronic communications

By using the Services, you consent to receive communications from us electronically. We may communicate with you by email, in-product messages, or by posting notices on the Website. You agree that all such communications satisfy any legal requirement that such communications be in writing.

6.2. Messaging and alerts

If you opt in to receive text messages, you consent to receive automated job alerts and service messages. Message and data rates may apply. You can opt out by replying STOP or by contacting us at [email protected].

7. Intellectual property concerns - DMCA

7.1. We respect intellectual property rights. If you believe content on the Website infringes your copyright, send a notice that meets 17 U.S.C. 512(c)(3) to our designated agent at [email protected]. Your notice should include:

  • your physical or electronic signature;
  • identification of the copyrighted work claimed to be infringed;
  • identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material;
  • your contact information;
  • a statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
  • a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner.

7.2. If your content was removed due to a copyright notice and you believe this was a mistake, you may send a counter-notification under the DMCA to the same address.

8. Disclaimers

8.1. The Website and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Women's Job list disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error free, that defects will be corrected, or that content is accurate, current, lawful, reliable, or suitable.

8.2. We do not endorse, guarantee, or assume responsibility for any job posting, employer or recruiter, Third-Party Site, product, or service advertised or offered by a third party through the Services. We are not responsible for any transaction between you and third parties.

8.3. We do not warrant that your use of the Website or Services will ensure your compliance with any law or regulatory obligation.

9. Limitation of liability

9.1. To the maximum extent permitted by law, Women's Job list, its affiliates, and their directors, officers, employees, agents, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, data, or business interruption, arising out of or related to this Agreement or your use of or inability to use the Services, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

9.2. We are not responsible for any unauthorized access to or use of our secure servers or any personal information stored therein, any interruption of transmission to or from the Services, any bugs, viruses, or similar harmful code that may be transmitted to or through the Services by any third party, or any errors or omissions in content or for any loss or damage incurred as a result of the use of any content posted or transmitted via the Services.

9.3. Some jurisdictions do not allow certain limitations of liability, so some of the above limits may not apply to you.

10. Indemnification and equitable relief

10.1. You agree to defend, indemnify, and hold harmless Women's Job list, its affiliates, and their directors, officers, employees, agents, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: your access to or use of the Website or Services; your breach of this Agreement or any other agreement with Women's Job list; your violation of any law or third party right; your User Content or User Data; or any other person's access to the Services using your account credentials.

10.2. You agree that any actual or threatened breach of this Agreement may cause irreparable harm for which monetary damages would be inadequate. Women's Job list may seek injunctive or equitable relief without posting a bond in addition to any other rights or remedies available at law or in equity.

11. Account management and termination

11.1. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

11.2. We may suspend or terminate your access to any part of the Services at any time for any or no reason, including violation of this Agreement or applicable law. You may close your account at any time through your Profile Settings or by contacting us at [email protected].

12. Governing law and venue

12.1. This Agreement and any dispute or claim arising out of or related to it are governed by the laws of the State of Delaware without regard to its conflict of law rules.

12.2. You agree that the exclusive venue for any action relating to this Agreement will be the state courts of Delaware or the federal courts located in the District of Delaware. You consent to personal jurisdiction in those courts and waive any objection to venue or forum non conveniens. We may seek relief in your jurisdiction for injunctive remedies if necessary.

12.3. To the extent permitted by law, you and Women's Job list waive any right to a jury trial. To the extent permitted by law, disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

13. Additional provisions

13.1. Notices

We may send notices to the email address associated with your account or by posting on the Website. Notices are deemed given 5 days after sending by email or posting. You may contact us at [email protected].

13.2. Assignment

You may not assign or transfer this Agreement or any rights or obligations hereunder without our prior written consent. Any attempted assignment without consent is void. We may assign this Agreement without restriction.

13.3. Independent contractors

The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or fiduciary relationship. Neither party may bind the other.

13.4. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

13.5. Waiver

No waiver of any term will be deemed a further or continuing waiver of such term or any other term. A party's failure to assert a right or provision under this Agreement will not constitute a waiver of such right or provision.

13.6. Entire agreement

This Agreement together with our Privacy Policy constitutes the entire agreement between you and Women's Job list regarding the Website and Services and supersedes all prior or contemporaneous agreements or representations on the same subject. No course of dealing or trade usage will be used to modify this Agreement. Any amendment must be in a writing signed by an authorized representative of Women's Job list.

13.7. Force majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, government actions, power or internet failures, or failures of third party providers.

13.8. No legal advice

Content on the Website is for informational purposes only and is not legal, tax, or professional advice.
