We are in the market for an Associate Tax Planning Counsel to join our knowledgeable team on our spacious corporate campus in Mason, Michigan. In this role, you will be responsible for tax research, modeling and documentation of federal, state, and international tax positions related to transactions or operational changes in the business. The Dart family of privately held companies, which includes Dart Container Corporation and Dart Interests, utilizes Dart Finance Shared Services (DFSS) to deliver specialized tax, treasury, risk management and internal audit services to Dart affiliated entities through a highly cross-functional and cooperative work environment. As this position is within DFSS, the successful candidate’s responsibilities with Dart will span several different industries including hospitality, manufacturing, real estate management and development among other industries.

 

Day-to-Day Role:

  • Analyze a diverse range of domestic and international tax issues related to entity formation and continuation including C corporations, S corporations, disregarded entities, partnerships, trusts, and controlled foreign corporations
  • Assist in all tax aspects of acquisitions, restructurings, and other business development transactions
  • Work with cross-functional teams on modeling proposed transactions, assist with tax due diligence, and review legal agreements
  • Support the compliance and financial reporting functions within the Tax department
  • Research and draft memoranda documenting positions taken
  • Draft and review tax-related contracts, resolutions, agreements, and other legal documentation
  • Research and draft audit responses requiring strong technical reasoning and substantial factual development
  • Maintain and expand current knowledge of emerging tax issues
  • Provide updates on proposed tax changes and if necessary, analyze and advise on strategies to mitigate negative tax impacts
  • Provide tax advice as requested to the Dart Family, CFO, and other applicable executives

 

Core Skills and Qualifications:

The ideal candidate must possess all of the following:

  • Juris Doctorate degree
  • Licensed to practice law in one of the fifty states
  • Two (2) years of tax experience (post education)
  • Excellent verbal and written communication skills necessary in order to persuade and influence decision making of individuals, groups, or work teams, and to explain difficult technical issues
  • Ability to build relationships and deal effectively across functional lines
  • Proven analytical problem solver
  • Ability to establish project plans, regularly monitor and track progress on work projects, and communicate with project partners
  • Experience using Microsoft Office, including ability to create reports, documents, presentations and spreadsheets in MS Word, MS Excel, and MS PowerPoint

Preferred Skills and Qualifications:

  • International tax experience
  • Corporate law experience
  • Corporate merger and acquisition experience
